1. Definition

Direct Seller Contract/Agreement shall mean and include the following (including amendments, modifications, and re-enactments thereof):

• Direct Seller Application Form with terms & conditions
• Company business plan and manual
• Code of ethics for independent distributors
• 28-day return and refund policy
• License transfer policy

2. Age of Independent Distributor

The distributor affirms they are above 18 years of age and have submitted valid documentation to confirm their identity.

3. Distributorship / Direct Selling

The distributor voluntarily purchases products from the company and independently promotes their sale.

4. Duration

This agreement remains valid until terminated as per the clauses defined herein.

5. Return & Refund Policies

Products may be returned and refunded within 28 days from the invoice date under the company’s return policy.

6. Distributorship Transfer

Distributorship may be transferred to a nominee or blood relative in the event of the distributor's death.

7. Payment & Bank Accounts

All payments are made via NEFT to the bank account listed in the distributor’s profile. No cash dealings are permitted.

8. Obligations of Independent Distributors

• Products must not be sold above MRP unless officially authorized.
• Distributors must comply with all legal and company policy regulations.

8.1 Independent Distributor Shall Not:

• Mislead about the product or compensation plan.
• Share unauthorized literature or training content.
• Share login credentials.
• Engage in any illegal or unethical activity.

9. Termination of the Agreement

• If products are returned within 28 days and the refund is processed, the agreement is terminated.
• Breach of ethics or illegal actions will result in immediate termination.

10. Relationship Between Parties

The distributor functions as an independent contractor and not an employee of the company. Earnings are performance-based.

11. Dispute Resolution Mechanism

Disputes must be reported within 28 days, and the company will provide a response within 28 days of receiving the complaint.

12. Amendment & Modification

The company reserves the right to amend any policies, terms, and business plans at any time without prior notice.
